Fredgolm Terms of Service

1. About these Terms

1.1 These Terms of Service (Terms) are an agreement between you and Vlaskin Holdings Pty Ltd (ACN 697 397 863) (ABN 25 697 397 863) trading as Fredgolm (Fredgolm, we or us). They govern your use of the Fredgolm website at fredgolm.ai, the application at 3d.fredgolm.ai, the Fredgolm Onshape plugin and any related Fredgolm software or services (the Service).

1.2 By clicking "I agree" or by using the Service, you accept these Terms. If you accept them on behalf of an organisation, you confirm that you are authorised to bind it, and you means that organisation.

1.3 If you use the Onshape plugin, the Fredgolm Onshape Plugin End User Licence Agreement at fredgolm.ai/onshape-eula (Plugin EULA) forms part of these Terms. Our Privacy Policy at fredgolm.ai/privacy explains how we handle personal information. If you and Fredgolm have signed a separate written agreement covering the Service (Signed Agreement), the Signed Agreement prevails to the extent of any inconsistency.

2. Definitions

2.1 In these Terms:

ACL means the Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth).

Consequential Loss means loss of profit, revenue, business, opportunity, goodwill or data, business interruption, and any indirect or consequential loss, and includes any loss arising from the manufacture, testing, certification, recall, repair or replacement of any part or product.

Customer Data means any data, files or material that you submit to or through the Service, including CAD files, geometry, parameters, prompts and chat messages.

Fees means any fees payable for a Paid Plan.

Model means any machine learning or artificial intelligence model used or developed by or for Fredgolm.

Output means any design, geometry, file, result or other material generated by the Service.

Paid Plan means a plan for which Fees are payable.

2.2 A reference to $ is to Australian dollars.

3. Eligibility

3.1 You must be at least 18 years old to use the Service, and you must use it only for business or professional purposes.

3.2 The Service is not offered in the European Economic Area, the United Kingdom, Switzerland, or any country subject to comprehensive Australian, United Nations or United States sanctions. You must not use the Service from, or if you are ordinarily resident in, any of those places. You confirm that you are not named on any sanctions list maintained by Australia, the United Nations or the United States.

4. Your account

4.1 You must give accurate information when you register. You are responsible for your login details and for all activity under your account.

5. Fees

5.1 We may offer Paid Plans. The Fees and other terms of a Paid Plan will be shown to you before you buy it and form part of these Terms.

5.2 Fees are non-refundable, except as required by law.

6. Customer Data

6.1 As between you and us, you keep your rights in your Customer Data.

6.2 You grant us and our service providers a worldwide, royalty-free licence to host, copy, store, process, transmit, display and modify your Customer Data and Output to provide, operate, secure and improve the Service, to comply with law and to enforce these Terms.

6.3 You warrant that you have all rights and consents needed to submit your Customer Data to the Service and to grant the licences in these Terms, and that doing so, including its storage and processing in Australia, the United States and other countries, does not breach any law, confidentiality obligation or third party's rights.

6.4 You are responsible for keeping your own copies of Customer Data and Output.

7. Training and improvement

7.1 You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, copy, analyse and modify Customer Data and Output to train, develop, test and improve the Service and our Models, and to permit our service providers to do so on our behalf. This licence continues after you change plans or your account is closed.

7.2 Clause 7.1 does not apply to Customer Data or Output to the extent a Paid Plan or Signed Agreement says otherwise.

7.3 Data that has been used to train a Model cannot be withdrawn from that Model.

7.4 We may use aggregated or de-identified data about use of the Service for any lawful purpose.

8. Output

8.1 Subject to clauses 6.2 and 7, we assign to you any rights we hold in Output generated for you. We do not warrant that any intellectual property rights exist in Output, that Output is unique to you, or that Output does not infringe any person's rights. The Service may generate the same or similar Output for other users.

9. Engineering responsibility

9.1 The Service is a design aid. It does not provide engineering advice, certification or approval. Output may be inaccurate, incomplete or unsafe.

9.2 You are solely responsible for independently reviewing, testing and verifying all Output before relying on it, and for ensuring that any part or product made using Output is fit for purpose and complies with all applicable laws and standards.

10. Acceptable use

10.1 You must not:

(a) use the Service unlawfully or in a way that infringes any person's rights;

(b) access, or attempt to access, any account, data or system you are not authorised to access, or interfere with, overload or circumvent the Service or its security;

(c) upload malicious code;

(d) copy, decompile or reverse engineer the Service or any Model, or extract data from the Service by automated means, except as permitted by law that cannot be excluded;

(e) use the Service or any Output to develop or train a competing product, service or model;

(f) resell or provide access to the Service to anyone else, or use the Service in a way that would cause us to breach the terms of any third-party service on which the Service relies;

(g) submit any data that is controlled under the Defence and Strategic Goods List or any other export control law, unless a Signed Agreement permits it;

(h) use the Service to design or produce weapons of mass destruction, including nuclear, chemical, biological or radiological weapons, or their delivery systems; or

(i) use the Service to design or produce firearms, weapons, munitions or other military items, unless a Signed Agreement permits it.

10.2 You must comply with all export control and sanctions laws that apply to your use of the Service.

10.3 We are not obliged to monitor the Service or Customer Data, but we may review Customer Data, Output and account activity at our discretion, including to investigate a suspected breach of these Terms.

11. Third-party services

11.1 The Service relies on third-party services, including Onshape, Google Cloud and third-party artificial intelligence providers. We are not responsible for third-party services, and your use of them may be subject to their own terms.

12. Disclosure of Customer Data

12.1 In addition to the uses permitted by clauses 6 and 7, we may disclose Customer Data:

(a) to our personnel, contractors and service providers;

(b) with your consent;

(c) where we consider it required or permitted by law, or necessary to investigate a suspected breach of these Terms; and

(d) in connection with a sale, merger or restructure of our business.

13. Privacy and security

13.1 Our Privacy Policy explains how we handle personal information.

13.2 No method of storing or transmitting data is completely secure. We do not guarantee that Customer Data will be free from unauthorised access, loss or corruption.

14. Our intellectual property

14.1 We and our licensors own the Service and the Models. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes.

14.2 You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use any feedback or suggestions you give us for any purpose.

15. Changes to the Service and these Terms

15.1 We may change, suspend or discontinue the Service or any part of it at any time. We do not guarantee that the Service will be available, uninterrupted or error-free.

15.2 We may amend these Terms at any time by publishing the amended Terms. The amended Terms apply from the date they are published. If you continue to use the Service, you accept them. If you do not agree to them, you must stop using the Service.

16. Australian Consumer Law

16.1 Nothing in these Terms excludes, restricts or modifies any right or remedy, including any consumer guarantee under the ACL, that cannot lawfully be excluded, restricted or modified.

16.2 To the extent permitted by law, our liability for failure to comply with a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having them supplied again, or, for goods, to replacing or repairing them or paying the cost of doing so.

17. Disclaimer

17.1 Subject to clause 16 and to the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", and all warranties, guarantees and conditions not expressly set out in these Terms are excluded.

18. Limitation of liability

18.1 Subject to clause 16 and to the maximum extent permitted by law:

(a) we are not liable for any Consequential Loss, however caused, including by negligence;

(b) our total liability arising out of or in connection with these Terms, the Plugin EULA or the Service, however caused, including by negligence and for any breach of confidentiality, privacy or data security, is limited to the greater of the Fees you paid us in the 12 months before the event giving rise to the liability and $100; and

(c) our liability is reduced to the extent any loss is caused or contributed to by you, your Customer Data, your failure to verify Output, or a third-party service.

19. Indemnity

19.1 You indemnify us and our officers, employees and contractors against any loss, liability or cost (including reasonable legal costs) arising from a third-party claim relating to your Customer Data, your breach of these Terms or of any law, or any part or product designed, made or supplied using Output.

19.2 We do not give any indemnity under these Terms.

20. Suspension and termination

20.1 We may suspend or terminate your access to all or part of the Service at any time, with or without notice, including if we consider that you have breached these Terms, or that suspension or termination is necessary to protect the Service or to comply with law or a third-party service provider's requirements.

20.2 We may also terminate these Terms for any reason by notice to you.

20.3 You may stop using the Service at any time, and may ask us to close your account by emailing business@fredgolm.ai.

20.4 After your account is closed, we are not required to keep your Customer Data or Output and may delete or de-identify it. Copies may remain in backups until they are overwritten in the ordinary course, and we may keep information where required or permitted by law. Clause 7 continues to apply.

20.5 Clauses 6.2, 6.3, 7, 8, 9, 10.3, 12 and 16 to 22, and any other clause intended to survive, survive termination.

21. Governing law

21.1 These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.

22. General

22.1 We may give you notices by email or through the Service. You may give us notices at business@fredgolm.ai.

22.2 You may not assign your rights under these Terms. We may assign or novate these Terms to a related company or to a buyer of our business.

22.3 We are not liable for any delay or failure caused by events beyond our reasonable control.

22.4 If any part of these Terms is void, unenforceable or unfair, it is read down to the extent necessary or, if that is not possible, severed, and the rest continues to apply.

22.5 A failure to exercise a right is not a waiver of it.

22.6 These Terms, the documents referred to in clause 1.3 and any Signed Agreement are the entire agreement between us about the Service. You have not relied on any statement not set out in them.
